1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Soulhaven Holistic Lifestyles, LLC, doing business as Soulhaven, an Arizona limited liability company ("Company," "we," "our," or "us"), governing your access to and use of the website located at radiantceomasterclass.com (the "Site") and any related services, content, and events, including but not limited to the Reclaim Your Radiance in Business and Life masterclass (collectively, the "Service").

By accessing the Site or registering for the Service, you agree to be bound by these Terms. If you do not agree, you may not access the Site or use the Service.

2. ELIGIBILITY

By using the Site or Service, you represent and warrant that:

You are at least 18 years of age

You have the legal capacity to enter into a binding agreement

You are not prohibited from receiving services under the laws of the United States or any other applicable jurisdiction

All registration information you provide is true, accurate, current, and complete

The Service is not intended for individuals under the age of 18. If we learn we have collected personal information from a minor, we will delete that information promptly.

3. DESCRIPTION OF SERVICE

The Service includes free educational programming delivered via live virtual events, email communications, and downloadable resources. The current featured event is a free live masterclass titled Reclaim Your Radiance in Business and Life delivered via Zoom.
Some events, including paid in-person events, are also governed by separate Event Terms.

The Service is provided for educational and informational purposes only. Nothing on the Site or in the Service constitutes medical, legal, financial, or professional advice. You should consult qualified professionals before making decisions based on the information provided.

4. REGISTRATION AND ACCOUNT

To register for the Service, you must provide accurate contact information, including your name, email address, and (if you opt in) mobile phone number. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

We reserve the right to refuse registration, cancel accounts, or remove any user at our sole discretion.

5. INTELLECTUAL PROPERTY RIGHTS

All content on the Site and delivered through the Service — including but not limited to text, graphics, logos, images, videos, audio recordings, course materials, workbooks, frameworks (including but not limited to the "Radiant CEO" framework, the "Three Homecomings," and Reclaim Your Radiance), and any other materials — is the exclusive property of Soulhaven Holistic Lifestyles, LLC, doing business as Soulhaven or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial use only. You may not:

Copy, reproduce, distribute, modify, adapt, or create derivative works of any Service content

Sell, license, sublicense, rent, or transfer any Service content

Record, reproduce, or share any live event content without prior written consent

Use any Service content for commercial purposes

Remove any copyright, trademark, or proprietary notices

Scrape, harvest, or extract data from the Site through automated means

6. USER CONDUCT

You agree not to:

Use the Service in any way that violates applicable federal, state, local, or international law

Impersonate any person or entity

Interfere with or disrupt the Service or servers/networks connected to the Service

Attempt to gain unauthorized access to any portion of the Service

Harass, threaten, or discriminate against other users or Company personnel

Post or transmit unsolicited advertising, promotional materials, spam, or chain letters

Post or transmit content that is defamatory, obscene, or otherwise objectionable

Reverse engineer any portion of the Service

7. LIVE EVENT PARTICIPATION

By attending live virtual events, including the Radiant CEO masterclass, you acknowledge and agree that:

Events may be recorded for the Company's use, including for marketing, promotion, and future replay purposes

Your name, image, likeness, voice, and comments shared during live events may be captured in recordings

The Company retains full rights to use, edit, distribute, and repurpose event recordings in any medium

Chat messages, questions, and comments you submit during events may be visible to other participants and may be included in recordings

You grant the Company a perpetual, worldwide, royalty-free license to use any content you contribute during live events

If you do not wish to appear in recordings, you may attend without turning on your camera or submitting chat comments.
In-person events may also be photographed and filmed, and the Event Terms apply to them.

8. TESTIMONIALS AND RESULTS

Any testimonials, case studies, success stories, or examples of results shared on the Site or in the Service reflect the individual experiences of specific participants. Results are not guaranteed. Individual results will vary based on numerous factors, including but not limited to: individual effort, existing skills and experience, personal circumstances, and application of the material presented. Nothing shared should be interpreted as a promise, guarantee, or representation of the results you will achieve. By participating in an in-person event, you also consent to the use of your testimonials as described in the Event Terms.

9. DISCLAIMERS

THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

The Company does not warrant that:

The Service will meet your specific requirements

The Service will be uninterrupted, timely, secure, or error-free

Results obtained from the use of the Service will be accurate or reliable

The quality of any products, services, information, or other material obtained through the Service will meet your expectations

The Company makes no representations about the accuracy, reliability, completeness, or timeliness of any content on the Site.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOULHAVEN HOLISTIC LIFESTYLES, LLC, DOING BUSINESS AS SOULHAVEN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of, or inability to access or use, the Service

Any conduct or content of any third party on the Service

Any content obtained from the Service

Unauthorized access, use, or alteration of your transmissions or content

Any decision or action taken based on information received from the Service

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Soulhaven Holistic Lifestyles, LLC, doing business as Soulhaven,its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms

Your use of the Service

Your violation of any rights of another party

Your violation of any applicable law

12. THIRD-PARTY LINKS AND SERVICES

The Site may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that the Company shall not be liable for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

13. TERMINATION

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

Informal Resolution. Before filing any formal claim, you agree to attempt to resolve any dispute informally by contacting us at [email protected]

We will attempt to resolve the dispute in good faith within thirty (30) days.

Binding Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Phoenix, AZ, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. You agree that any dispute shall be resolved on an individual basis and not as part of any class, consolidated, or representative action.

15. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of these Terms. Your continued use of the Service after any modification constitutes your acceptance of the modified Terms. If the changes are material, we may provide additional notice via email or through the Site.

16. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any applicable Event Terms, constitute the entire agreement between you and Soulhaven Holistic Lifestyles, LLC, doing business as Soulhaven regarding the Service and supersede any prior agreements.
